1. Acceptance of Terms

These Terms of Service ("Terms") govern your use of the NextBix Learning Management System ("LMS," "Platform," "Service") provided by NextBix ("we," "us," "our"). By accessing or using the Service, you ("Customer," "you," "your") agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Service Description and License

NextBix provides a cloud-based LMS platform that enables organizations to create, manage, deliver, and track learning and training content for their users. Subject to these Terms and your subscription plan, we grant you a non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

• The license is limited to the number of users and features included in your subscription plan
• You may not sublicense, resell, or redistribute the Service to third parties
• All rights not expressly granted are reserved by NextBix

3. Customer Responsibilities

As a Customer, you are responsible for:

• Content Ownership: You retain ownership of all content, data, and materials you upload to the Platform ("Customer Content")
• Content Legality: Ensuring that your Customer Content is lawful, does not infringe third-party rights, and complies with applicable laws and regulations
• Data Accuracy: Maintaining accurate and up-to-date user information
• User Management: Managing access credentials, user roles, and permissions within your account
• Compliance: Complying with all applicable data protection, privacy, and employment laws in relation to your use of the Service
• Security: Safeguarding your account credentials and promptly notifying us of any unauthorized access

4. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Upload or distribute malware, viruses, or other harmful code
• Engage in unauthorized access, hacking, or attempts to compromise system security
• Interfere with or disrupt the Service or servers/networks connected to the Service
• Use automated tools (e.g., bots, scrapers) without our prior written consent
• Upload content that is illegal, defamatory, harassing, obscene, or infringes intellectual property rights
• Impersonate any person or entity, or falsely represent your affiliation
• Attempt to reverse engineer, decompile, or derive source code from the Service

We reserve the right to investigate and take appropriate action, including suspension or termination of access, for violations of this policy.

5. User Accounts and Access

You are responsible for all activities that occur under your account. You agree to:

• Use strong, unique passwords and enable multi-factor authentication where available
• Not share login credentials with unauthorized individuals
• Promptly notify us of any suspected unauthorized access or security breach
• Ensure that users accessing the Service through your organization comply with these Terms

6. Intellectual Property

NextBix IP: The Service, including its software, design, user interface, features, and documentation, is owned by NextBix and protected by copyright, trademark, and other intellectual property laws. You acquire no ownership rights to the Service.

Customer Content: You retain all ownership rights to your Customer Content. By uploading content to the Platform, you grant NextBix a limited, non-exclusive license to host, store, process, and display your content solely for the purpose of providing the Service.

Feedback: If you provide us with feedback, suggestions, or ideas about the Service, we may use that feedback without any obligation to compensate you.

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the business relationship. This includes, but is not limited to, business plans, technical data, customer data, and pricing information. Confidential information does not include information that:

• Is publicly available through no fault of the receiving party
• Was rightfully in the receiving party's possession prior to disclosure
• Is independently developed by the receiving party without use of the confidential information
• Is required to be disclosed by law or regulation

8. Service Availability and Support

Service Availability: We strive to provide a reliable and available Service. However, we do not guarantee uninterrupted or error-free access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

Support: Technical support is provided according to your subscription plan. Support channels and response times are outlined in the applicable support documentation.

9. Fees and Payment

Fees for the Service are based on your subscription plan and are payable as agreed in your contract or order form. Unless otherwise specified:

• Fees are non-refundable
• Payment is due upon invoice or according to the payment schedule
• Late payments may result in suspension of Service access
• Fees may be subject to change upon renewal with advance notice

10. Data Protection and Privacy

NextBix processes personal data on behalf of the Customer in accordance with our Privacy Policy and Data Processing Agreement. The Customer acts as the data controller and is responsible for complying with applicable data protection laws.

11. Warranties and Disclaimers

NextBix warrants that the Service will perform substantially in accordance with the documentation provided. However, to the fullest extent permitted by law:

Some jurisdictions do not allow the exclusion or limitation of certain liabilities, so the above limitations may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless NextBix, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use or misuse of the Service
• Your violation of these Terms
• Your Customer Content or its infringement of third-party rights
• Your violation of any applicable laws or regulations

14. Termination and Suspension

Termination by Customer: You may terminate your subscription according to the terms of your contract or by providing written notice as specified in your agreement.

Termination by NextBix: We may suspend or terminate your access to the Service immediately if:

• You breach these Terms or your payment obligations
• Your use of the Service poses a security risk or violates applicable laws
• We are required to do so by law or regulation

Effect of Termination: Upon termination, your access to the Service will cease. Customer Content will be handled according to the Data Processing Agreement and applicable data retention policies.

15. Modifications to the Service and Terms

NextBix reserves the right to modify, update, or discontinue features of the Service with reasonable notice. We may also update these Terms from time to time. Material changes will be communicated to you via email or through the Platform. Continued use of the Service after such changes constitutes acceptance of the revised Terms.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of [Insert Jurisdiction], without regard to its conflict of law principles.

Any disputes arising out of or relating to these Terms or the Service shall be resolved through good faith negotiation. If a resolution cannot be reached, disputes shall be submitted to the exclusive jurisdiction of the courts of [Insert Jurisdiction].

• Entire Agreement: These Terms, together with your subscription agreement and Data Processing Agreement, constitute the entire agreement between you and NextBix regarding the Service
• Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect
• Waiver: No waiver of any provision shall be deemed a continuing waiver or waiver of any other provision
• Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction
• Force Majeure: Neither party shall be liable for failure to perform due to causes beyond its reasonable control
